This Confidentiality Agreement (“Agreement”) is entered into as of [Date], by and between Redefined Teaching Tutoring Services (“Company”) and [Employee Name] (“Recipient”).
1. Purpose
The purpose of this Agreement is to ensure that all confidential and proprietary information relating to the Company’s operations, clients, students, and business practices is protected and used only for authorized purposes.
2. Definition of Confidential Information
Confidential Information includes but is not limited to student information, parent/guardian contact information, company policies, procedures, training materials, lesson plans, pricing, marketing strategies, internal communications, business operations, systems, and any non-public information disclosed during employment.
3. Obligations of the Recipient
The Recipient agrees to maintain strict confidentiality, use information only for job duties, not disclose or reproduce information without written consent, and protect all confidential materials.
4. Exclusions
Confidential Information does not include public information, information obtained lawfully from another source, or independently developed information.
5. Return of Materials
All company materials must be returned upon termination or request.
6. Duration
Obligations continue indefinitely or as long as the information remains confidential.
7. Non-Solicitation of Clients and Students
Recipient may not solicit or service company clients during employment and for 12 months after.
8. Non-Solicitation of Employees
Recipient may not recruit company staff during employment and for 12 months after.
9. Outside Tutoring Restriction
Recipient may not tutor company clients privately during employment or within 12 months after.
10. Remedies
Company may pursue legal action including damages and injunctions.
11. Governing Law
This Agreement is governed by the laws of the State of Florida.
